The Company views the implementation of Good Corporate Governance (GCG) as an effort to maintain business continuity, uphold stakeholders’ trust, and foster corporate integrity. The Corporate Governance Guidelines are prepared as a reference in managing the business of PT PLN Indonesia Power, based on the principles of Good Corporate Governance (GCG), which serve as rules and guidance for all employees of the Company in carrying out their business activities.
As a form of comprehensive GCG implementation, PT PLN Indonesia Power adopts several GCG standards, including the Guidelines for State-Owned Enterprises (SOEs) issued by the Ministry of State-Owned Enterprises, namely the Regulation of the Minister of SOEs No. Per-02/MBU/03/2023 concerning Guidelines for Governance and Significant Corporate Activities of SOEs; the Indonesian Corporate Governance Code (PUG-KI) issued by the National Committee on Governance Policy; as well as GCG Guidelines based on the ASEAN Corporate Governance Scorecard (ACGS) standards.
The objectives of GCG implementation at PLN Indonesia Power are as follows:
The Corporate Governance Guidelines / GCG Code contain the Strategic Directives of the Board of Directors and the Board of Commissioners regarding the implementation of GCG within the Company, and serve as the parent policy of the Company that acts as a reference for all corporate activities. These include the relationship between the Company and Shareholders, the functions and roles of the Board of Commissioners and the Board of Directors, the Company’s relationship with stakeholders, as well as the principles underlying the Company’s core policies.
The Corporate Governance Guidelines/ GCG Code of PT PLN Indonesia Power is stipulated under the Joint Decree of the Board of Directors and the Board of Commissioners SK No. 178.K/010/IP/2019 and SK No. 006.SK/DEKOM-IP/2019.
The Corporate Code of Ethics / Code of Conduct (COC) serves as a guideline for interactions between management, employees, and stakeholders, in line with the Company’s values, culture, and the principles of Good Corporate Governance (GCG).
The Corporate Code of Ethics / Code of Conduct (COC) regulates what is appropriate and inappropriate, right and wrong, commendable and improper, as well as valued and disapproved behaviors carried out by the Company’s employees in their relations with all stakeholders.
The Corporate Code of Ethics of PT PLN Indonesia Power is stipulated in the Joint Decree of the Board of Directors and the Board of Commissioners, as stated in SK No. 0179.K/DIR/2023 and No. 004.SK/DK-/2023 dated June 27, 2023.
The Board Manual serves as a guideline that broadly outlines the rights, obligations, duties, and limits of authority of the Board of Commissioners and the Board of Directors as the Company’s main governing organs, as well as the processes governing the relationship and functions between the two organs.
The Board Manual of the Board of Commissioners and the Board of Directors of PT PLN Indonesia Power is stipulated in the Joint Decree of the Board of Commissioners and the Board of Directors under SK No. 051.K/010/IP/2020 and SK No. 005.SK/DEKOM-IP/2020.
The Conflict of Interest Policy provides guidance on how the Company identifies, prevents, and addresses conflicts of interest, as well as the procedures for disclosing potential conflicts of interest, in order to ensure sound corporate governance.
The Conflict of Interest Guidelines of PT PLN Indonesia Power are stipulated in the Decree of the Board of Directors No. 018/K/010/IP/2020.
To assess the level of maturity in the implementation of Good Corporate Governance (GCG), PT PLN Indonesia Power has consistently conducted GCG evaluations every year since 2008, carried out either by independent assessors or through self-assessment. These evaluations refer to the assessment parameters stipulated in SK-16/MBU/2012 issued by the Ministry of State-Owned Enterprises, and are implemented within collaboration and fully support from all Company organs.
In addition, since 2018 PT PLN Indonesia Power has conducted GCG assessment based on the ASEAN Corporate Governance Scorecard (ACGS) through self-assessment, in order to measure the adequacy of GCG practices at the ASEAN level.
